Terms of Service
Effective date: October 21, 2026
Please read these Terms carefully. They explain the rules for using EdgeClerk, a carrier vetting web app and Chrome side panel for freight brokerages and shippers, operated by 1A Irvin Co. Sections 5 through 10 and 18 through 20 limit what EdgeClerk is responsible for.
1. About these Terms
These Terms of Service (the "Terms") are an agreement between 1A Irvin Co, ("1A Irvin Co", "we", "us"), and the company that signs up for EdgeClerk (the "Company", "you"). EdgeClerk includes the web app at app.edge-clerk.com, the website at edge-clerk.com, the EdgeClerk Chrome side panel extension, and any related support (together, the "Service").
By creating an account, signing in, installing the extension, or otherwise using the Service, you agree to these Terms. If you accept these Terms for a company, you confirm that you have authority to bind that company. Each person who uses the Service under the Company's account (a "User") must also follow these Terms. If you do not agree, do not use the Service.
If the Company and 1A Irvin Co sign a separate order form or agreement for the Service, that document controls where it conflicts with these Terms.
2. Key terms
- Super Admin means 1A Irvin Co acting as the owner and operator of the platform.
- Company Admin means a User the Company designates to manage its EdgeClerk account, including Users, seats, settings and vetting standards.
- Agent means any other User the Company gives access to, such as a broker, dispatcher or carrier sales representative.
- Seat means one named User's right to access the Service.
- Public Data means information we obtain from public sources, mainly the Federal Motor Carrier Safety Administration (FMCSA) of the U.S. Department of Transportation.
- Company Content means anything the Company or its Users put into the Service, including notes, flags, lanes, vetting standards, client portal content, support tickets and uploaded files.
3. Who may use EdgeClerk
EdgeClerk is a business tool. It is offered only to businesses located and operating in the United States or Canada, such as freight brokerages and shippers, and to their authorized Users. It is not offered to consumers or for personal, family or household use. Each User must be at least 18 years old and must use the Service only for the Company's business.
To protect the Service and its data, we may block, limit or end access that appears to come from outside the United States or Canada, or through a VPN, proxy, anonymizing network, hosting provider or similar tool. We may do this even when the User is otherwise authorized, and we are not required to explain each decision. If a legitimate User is blocked, the Company Admin can contact us.
4. Accounts, seats and security
- One person per seat. Each Seat belongs to one named person. Users must not share logins, passwords or sign-in tokens, and a Seat may not be passed between people. A Company Admin may reassign a Seat from a departed User to a new User.
- One active session per seat. Each Seat may have only one active session at a time. Signing in somewhere new may end the earlier session.
- The Company is responsible for its Users. The Company is responsible for everything done under its account, for choosing who gets access, and for making sure its Users follow these Terms.
- Company Admins control access. Company Admins can add Users, change their roles, and deactivate them at any time. The Company should promptly deactivate anyone who leaves or should no longer have access.
- Keep credentials safe. Users must keep their credentials confidential and tell their Company Admin, or us, right away if they suspect unauthorized access.
- Our right to act. As Super Admin, we may suspend a User, a session or the Company's account if we reasonably believe there is a security risk, login sharing, a violation of these Terms, or a legal requirement. Where practical, we will tell the Company Admin.
5. What EdgeClerk is, and what it is not
EdgeClerk is an information tool. It gathers and displays carrier information and applies the Company's own vetting rules to help the Company's people do their own review.
- We are not a freight broker, motor carrier, freight forwarder, shipper or shipper's agent. We do not arrange, tender, transport or insure freight.
- We do not endorse, approve, certify, rate or recommend any carrier. A carrier appearing in EdgeClerk, or passing a vetting standard, is not an endorsement. A risk flag or failed check is not a finding that a carrier is unsafe, dishonest or unfit.
- EdgeClerk does not give legal, regulatory, insurance or safety advice.
- The Company alone decides which carriers to use. The Company is solely responsible for its carrier selection decisions, for verifying a carrier's authority, insurance and identity before tendering freight, and for complying with the laws, regulations and contracts that apply to its business.
6. Data sources and accuracy
Carrier information in EdgeClerk comes mainly from FMCSA public data, including operating authority, insurance filings, census (registration) data and authority and filing history. Some information comes from other third-party sources or from Company Content.
- Shown as reported. We display Public Data as we receive it. We do not independently check it, and it may be delayed, incomplete, out of date or wrong. FMCSA and other sources may change or correct their records at any time.
- Status labels. Authority, insurance and other statuses are shown as the source reports them. For example, a status of "Suspended" may reflect an action that FMCSA has not finished reviewing or that the carrier is contesting, and is not necessarily a final determination.
- Insurance filings are not proof of coverage. An insurance filing on record with FMCSA does not confirm that a policy is in force, what it covers, or that it will pay a claim. Confirm coverage directly with the carrier's insurer or agent.
- Risk flags are automated signals. Risk flags come from automated rules applied to available data. They can miss problems and can flag carriers that have none. They are a starting point for the Company's own review, not a conclusion.
We will try to keep data reasonably current, but we do not guarantee the accuracy, completeness or timeliness of any information in the Service.
7. Not a consumer reporting agency
1A Irvin Co is not a consumer reporting agency, and the Service does not provide consumer reports as defined by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) or any similar federal, state or Canadian provincial law. The Service is designed to provide information about businesses for business-to-business freight decisions.
The Company agrees not to use the Service, or any information from it, in whole or in part, as a factor in deciding any individual's eligibility for credit, insurance, employment, housing, a government license or benefit, or for any other purpose covered by those laws. This includes decisions about owner-operators or sole proprietors in their personal capacity.
8. Company vetting standards
EdgeClerk lets each Company set up to four vetting standards: the Company Standard, the Calibrated Standard, Custom 1 and Custom 2. These standards are created, selected and maintained by the Company's Company Admin.
- The Company owns its standards. The Company decides what each standard checks, what thresholds it uses, and how its people act on the results.
- We only apply them. EdgeClerk applies the Company's standards to the available data as configured. A pass, fail or warning result reflects the Company's own criteria, not our opinion of the carrier.
- Suggested settings are only a starting point. If we provide default or suggested settings, the Company is responsible for reviewing them and deciding whether they fit its business.
- Results depend on the underlying data. If the data is wrong or missing, the result may be wrong too.
9. IP Check
IP Check estimates where an IP address is located, and related details such as its network provider or whether it may be a VPN or proxy, by sending the address to third-party IP location services such as ip-api.com.
- IP Check results are estimates and signals, not proof. They can be wrong because of VPNs, proxies, mobile and satellite networks, shared or reassigned addresses, or errors in the third-party data.
- A result does not prove who someone is, where they are, or whether fraud has happened. The Company should not take action against a carrier or person based only on an IP Check result.
- The Company should check only IP addresses it obtained lawfully and has a legitimate business reason to check. IP addresses checked are sent to the third-party service, as described in our Privacy Policy.
10. Notes and flags submitted by Companies
Users may add notes, flags and similar comments about carriers ("Notes"). Notes are part of Company Content.
- Notes are the submitter's opinion. A Note reflects the view of the User and Company that submitted it, not the view of 1A Irvin Co. We do not check Notes for accuracy.
- Notes must be truthful. Users must submit only Notes that are accurate, honest, based on their own experience or reliable information, and made in good faith. Notes must not be false, misleading, defamatory, harassing or discriminatory, and must not include personal information beyond what is needed (for example, no Social Security or Social Insurance numbers, driver's license numbers or bank details) or anything the User has no right to share.
- License to host. The Company keeps ownership of its Notes and other Company Content. The Company gives us a non-exclusive, royalty-free license to host, store, copy, process and display Company Content as needed to provide, secure and support the Service.
- Our right to remove. We are not required to review Notes, but we may restrict access to, hide or remove any Note or other Company Content that we believe breaks these Terms or the law, or that is the subject of a credible dispute.
- Notes stay within the submitting Company. Notes are visible only to Users of the Company that submitted them. We will not share a Company's Notes with other companies unless that Company later agrees in writing, or the law requires it.
- Carrier disputes. A carrier who believes a Note about it is false or unlawful may contact us at Adam Irvin, 1A Irvin Co, [email protected] with its MC or DOT number and an explanation. We may share the request with the submitting Company, ask it to review the Note, and remove or restrict the Note while we look into it. Disputes about Public Data should also be raised with FMCSA, since we cannot change FMCSA records.
11. Lanes, client portal and support tickets
- Lanes. Lane information the Company enters is Company Content. The Company is responsible for its accuracy.
- Client portal. If the Company invites its own clients to the client portal, the Company is responsible for deciding what to share, for its clients' access and use, and for having the right to share that information. The Company's clients must follow the parts of these Terms that apply to them, and the Company is responsible if they do not.
- Support tickets. When a User opens a support ticket, we may view the Company's account and Company Content as needed to answer it. Users should not put passwords or sensitive personal information in tickets.
12. Acceptable use
The Company and its Users must not, and must not help anyone else to:
- scrape, crawl, bulk-download or harvest data from the Service, or use bots or automated tools to access it, except through features we provide for that purpose;
- resell, sublicense, rent, share or redistribute the Service or its data, or use it to build or support a competing product or database;
- copy, modify, reverse engineer, decompile or try to extract the source code of the Service or the extension, except where the law expressly allows it despite this restriction;
- share logins, get around seat or session limits, or access the Service through someone else's account;
- hide their location or identity to get around access restrictions, including through VPNs or proxies;
- test, probe or attack the Service's security, or interfere with its operation;
- upload malware or harmful code;
- use the Service to break any law, harass anyone, or violate anyone's rights; or
- use the Service for any purpose covered by consumer reporting laws, as described in Section 7.
13. Chrome extension
The EdgeClerk Chrome side panel extension is part of the Service and is covered by these Terms. It works only with an active EdgeClerk account. It sends only the text a User highlights, right-clicks or types, and IP addresses a User chooses to check, as described in our Privacy Policy. The extension may update automatically. Google's own terms apply to the Chrome Web Store and the Chrome browser. Users may remove the extension at any time, and it stops returning results when a User's access is deactivated or the Company's account is paused or ended.
14. Privacy
Our Privacy Policy at edge-clerk.com/privacy explains how we handle information through the Service and is part of these Terms by reference. The Company is responsible for giving its Users any notices, and getting any consents, that the law requires for their use of the Service.
15. Fees, subscription and termination
- Fees. Fees are as stated in the plan or order form shown to the Company at signup. The Company agrees to pay the fees for the plan and number of Seats it selects. Fees are in U.S. dollars and do not include taxes unless stated.
- Changes to pricing. We may change fees for future billing periods with at least 30 days' notice.
- Term. The subscription continues for the period the Company selects and renews as described in its plan or order form until either party ends it.
- Ending the subscription. The Company may stop using the Service and end its subscription at any time by contacting us.
- Suspension or termination by us. We may suspend or end the Company's access if fees are unpaid, if the Company or its Users materially break these Terms, if needed for security or legal reasons, or if we stop offering the Service. Where practical, we will give notice first.
- After termination. Access ends, and we may delete Company Content, except where the law requires us to keep it. Sections that by their nature should survive (including Sections 5–7, 10, 16 and 18–22) survive termination.
16. Ownership
1A Irvin Co owns the Service, including its software, design, the EdgeClerk name and logo, and all related intellectual property. These Terms give the Company a limited, non-exclusive, non-transferable right for its Users to use the Service during the subscription for the Company's internal business. We do not claim ownership of Public Data or Company Content. If the Company or its Users send us suggestions or feedback, we may use them without any obligation.
17. Third-party services
The Service relies on third parties, including FMCSA data, Cloudflare for hosting and IP location services such as ip-api.com. We are not responsible for third-party services or data, and their availability may change. Where a third party stops providing data, we may change or remove the related feature.
18. Disclaimer of warranties
THE SERVICE, INCLUDING ALL DATA, RISK FLAGS, VETTING RESULTS, IP CHECK RESULTS AND NOTES, IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, 1A IRVIN CO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE OR CURRENT. WE DO NOT GUARANTEE ANY UPTIME OR SERVICE LEVEL.
19. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, 1A IRVIN CO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, BUSINESS OR DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. THIS INCLUDES ANY LOSS ARISING FROM CARGO LOSS, THEFT OR DAMAGE, FRAUD, DOUBLE BROKERING, A CARRIER'S ACTS OR FAILURES, ACCIDENTS OR INJURIES, OR THE COMPANY'S DECISION TO USE OR NOT USE ANY CARRIER.
TO THE FULLEST EXTENT ALLOWED BY LAW, 1A IRVIN CO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES THE COMPANY PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply to all legal theories, including contract, tort (including negligence) and statute, and apply even if a remedy fails of its essential purpose. Some places do not allow certain limits, so some of them may not apply.
20. Company's responsibility to defend us (indemnity)
The Company will defend, indemnify and hold harmless 1A Irvin Co and its owners, officers, employees and contractors from any third-party claims, losses, damages, fines and costs (including reasonable attorneys' fees) arising from: (a) the Company's or its Users' use of the Service; (b) the Company's carrier selection or freight decisions; (c) Company Content, including Notes; (d) the Company's vetting standards; (e) use of the client portal by the Company's clients; or (f) a breach of these Terms or the law by the Company or its Users. We will give the Company prompt notice of any such claim and reasonable cooperation, at the Company's expense.
21. Changes to the Service and these Terms
We may add, change or remove features of the Service. We may also update these Terms. If we make a material change, we will post the updated Terms with a new effective date and notify Company Admins by email or in the app before it takes effect, unless a faster change is needed for legal or security reasons. Continuing to use the Service after the change takes effect means the Company accepts the updated Terms.
22. Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the Service will be brought only in the state or federal courts located in or serving Ramsey County, Minnesota, and each party consents to those courts' jurisdiction.
23. General terms
- Entire agreement. These Terms, the Privacy Policy and any signed order form are the entire agreement about the Service.
- Assignment. The Company may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of the business.
- Severability and waiver. If part of these Terms is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages at data sources or hosting providers.
- Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or employment relationship.
- Notices. We may send notices to the Company Admin's email on file. The Company may send notices to us at the contact below.
